Continuously enhance operational risk under the premise of adhering to local regulations and implementing integrity management./Evaluate and address opportunities, optimize external communication channels, establish a convenient, fast, accurate, and secure information network for effective communication and negotiation with stakeholders, and cultivate the core qualities and attitudes necessary for sustainable corporate development.

The company designates the Finance and Administration Department and the General Manager's Office as the dedicated units for promoting integrity management, primarily responsible for:

I. Assisting in integrating integrity and ethical values into company management strategies and coordinating with legal systems to establish anti-corruption measures ensuring integrity management.

II. Establishing plans and procedures to prevent dishonest behavior.

III. Implementing supervisory mechanisms for business activities with higher risks of dishonest behavior within the business scope.

IV. Promoting and coordinating integrity policy advocacy and training.

V. Planning a whistleblowing system to ensure effective execution.

VI. Assisting the Board of Directors and management in reviewing and evaluating the effectiveness of integrity management preventive measures and conducting regular assessments of compliance with related business processes, reporting on the findings.

 

Concrete measures to implement integrity management policies.

Promote integrity policy advocacy, provide education and training, with recent annual educational briefings for related personnel scheduled as follows:

  • June 24, 2025 In-person courses covering integrity management-related regulations are held, with the content communicated company-wide via email. All on-duty staff sign and read the relevant content.
  • Include corporate integrity management and legal practices related to insider trading prevention regulations in the new employee education and training system.
  • November 5, 2025, a lawyer from All Nations Law Firm, Huang Zhengxin, was invited to give a lecture on "Review of Sustainability Reports and Legal Responsibilities and Prevention of Insider Trading". The session lasted 3 hours. Company directors, managers, and colleagues together 11 people attended.

 

Fulfillment of Integrity Management

I. Establishment of Integrity Management Policies and Plans

  • The company has established an "Integrity Management Code," approved by the board on May 12, 2022.12This code serves as a guideline for the board, managers, and employees. Also, we have enacted a "Code of Ethical Conduct," published on the company's website.
  • The company has established "Integrity Management Procedures and Guidelines," "Procedures for Related Party, Specific Company and Group Enterprise Transactions," "Personal Data Protection Management Measures," among others, to prevent high-risk activities of dishonest behavior. Employees must thoroughly understand business-related regulations and make correct business and ethical judgments. Ethics and regulatory compliance play a vital role.

 

II. Implementation of Integrity Management

  • The company conducts credit checks and evaluations on customers and suppliers in accordance with the "Supplier Code of Conduct," reviewing past business activities to assess the risk of dishonest behavior. For significant clients or suppliers, contracts not only specify the rights and obligations of both parties but also include clauses for adherence to integrity. If any dishonest behavior is detected in business dealings or collaborative partners, the company must immediately cease business interactions and blacklist them.2025 year, key suppliers signed the 'Supplier Code of Conduct' with a signing rate of over 80 %, committing to implementing honest business practices.
  • The company notifies all directors and insiders of the stock blackout period via email each month, prohibiting them from trading stocks during the blackout periods of thirty days prior to the annual financial report announcement and fifteen days prior to each quarterly financial report announcement.
  • The company completely re-elected directors and independent directors at the shareholders' meeting on May 28, 2025. All seven directors have signed the 'Declaration of No Violation of Integrity Principles' and acknowledged receipt of the company's guidelines manual for directors.
  • In accordance with the 'Code of Ethical Conduct' and 'Procedures and Guidelines for Ethical Operations', the company has designated the Financial Administration Department and the Office of the General Manager as the dedicated units responsible for coordinating the promotion of the company's ethical business operations. December 24, 2025, reported to the board of directors about The implementation status of ethical business and sustainable development for the year.
  • The company regularly offers internal training courses and external education sessions to ensure employees understand internal regulations or the latest relevant laws and regulations, strengthening their firm commitment to adhering to integrity management standards.
  • We have established the "Code of Ethical Conduct," which requires all company personnel to abide by ethical norms in business operations and execute tasks objectively and efficiently, without using their position to gain improper benefits for themselves, relatives, or friends.
    No reports or complaints of dishonest or unethical conduct, corruption, or bribery were received in 2025.
  • Our "Board Meeting Rules" state that when directors have a personal or representative conflict of interest in meeting topics, they must disclose key information about these interests during the board meeting. If there is a risk of harming corporate interest, they must abstain from discussion and voting, and may not represent other directors in voting.2025 year, directors recused themselves from related proposals where conflicts of interest were present.

 

III. Operation of Company Whistleblowing System

  • Our company website provides communication channels for vendors, customers, and employees; internally, we have a whistleblowing system in place, including a publicly announced whistleblower mailbox and hotline for internal use.

  • The identity of the whistleblower and the content of the report are kept confidential to ensure that the whistleblower is protected from any improper treatment due to the act of reporting.
